The for-profit company was incorporated with the Wyoming Secretary of State in August 2018. The initial filings of the Articles of Corporation took place on August 22, 2018, when Beverly O. Porter registered Oceonica Corp. as a for-profit corporation.

According to the Articles of Incorporation filed to the Wyoming Secretary of State, despite being a company incorporated in Wyoming, Oceonica Corp. has its principal office and mailing address in San Francisco, California. The Wyoming Secretary of State website states the company has a perpetual term of duration; perpetual term of duration means Oceonica Corp. exists as its own entity, regardless of what happens to the individuals involved in the business. Oceonica Corp. has the authority to issue 2,000 common shares.

ISL, Inc. is the registered agent for Oceonica Corp. Beverly O. Porter was the Assistant Secretary of Incorporating Services, LTD, when Oceonica Corp. was incorporated. According to documents filed to the Wyoming Secretary of State, ISL, Inc. serves as the registered agent in Wyoming for Oceonica Corp. ISL, Inc. voluntarily consented to serve as the registered agent for Oceonica Corp. when Beverly Porter signed on the Consent to Appointment by Registered Agent. As of November 2019, ISL, Inc. still serves as the registered agent for Oceonica Corp.

Company ownership

According to the Profit Corporation Annual Report filed on August 1, 2019, Sergei Noskov is the President and Director of Oceonica Corp. The annual document suggests Noskov assumed the role of President/Director between May 22, 2019, and July 12, 2019.
